1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Patient First Research Ltd ("we", "our", or "us"), including participation in research activities, surveys, and the use of our website and communication channels. By registering with us or taking part in any of our research activities, you agree to comply with these Terms.

We operate in accordance with UK law, the Market Research Society (MRS) Code of Conduct, the British Healthcare Business Intelligence Association (BHBIA) guidelines, and the European Pharmaceutical Market Research Association (EphMRA) Code of Conduct.

2. Eligibility

To register or participate in our research activities, you must:
- Be at least 18 years of age (or the minimum legal age for market research participation in your jurisdiction);
- Be a UK resident, unless otherwise specified for a particular project;
- Provide truthful, accurate, and complete information during registration and participation;
- Not create multiple or fraudulent accounts.

We reserve the right to verify your identity or eligibility before allowing participation in studies. Verification may include proof of medical condition or identification documents.

3. Research Participation

Participation in research activities is entirely voluntary. You may decline or withdraw from any study at any time without penalty.

By choosing to participate in a study, you agree to:
- Provide honest and accurate responses;
- Follow study instructions carefully;
- Keep confidential any information shared with you during research activities;
- Not share screenshots, recordings, or project materials unless authorised.

We reserve the right to remove any participant from a study if we reasonably believe their participation is fraudulent, incomplete, or in breach of these Terms.

4. Referrals

You may refer other potential participants to Patient First Research using referral links or other approved methods. Referrals must be genuine, and the referred individuals must consent to being contacted by us. From time to time, we may offer an incentive for referrals. Any incentives for referrals will only be issued when the referred individual successfully completes the registration, participation process and engage in a live project. Any misuse of referral systems, such as sharing personal data without consent, may result in account termination.

All registered members can refer other users so the referred users can earn money and donate money to our registered charity. You will find your personal referral link within the ‘Refer a Friend’ section in your dashboard. You can share this with anyone you think might be interested in taking part so they can register their interest with us.

We have all the rights to restrict the number of referrals to be made within a week, month or year.

5. Incentives and Payments

When you complete a research study, your participation incentive will usually appear as pending in your dashboard wallet within 2 business days, once approved, it’s added to your balance. From there, you’ll have complete control over your funds — you can choose to withdraw your payment directly to your bank account, or keep it in your dashboard wallet to withdraw, build your balance over time or donate later.

On successful completion of a survey a confirmation screen will be shown to you at which point the survey will be deemed complete.

If a member is terminated from a survey or research activity during the initial screening stage (i.e. they do not meet the eligibility requirements for participation that are checked at the beginning) they will be shown a quota full or terminate page and will not be allowed to proceed with the survey or research activity. However, they will still be paid a participation incentive (as per our always reward program) for their valuable time and effort rather than receiving the full incentive.

All payments and incentives will be clearly explained before you start any research activity, including the value and payment method. We’ll notify you once your reward is available in your dashboard wallet.

You’re responsible for ensuring your account and payment details are accurate. We may need to pause or withhold payment if:

- The research activity wasn’t fully completed;
- Fraudulent or duplicate participation is suspected;
- Your payment or identity details are incomplete or invalid.

If you prefer, you can donate some or all of your incentives to one of our registered charity partners. These donations are processed quarterly once all project payments have been finalised.

We transfer your donations to the Charities once a quarter on your behalf. Your donation will only be made provided you have completed all requirements and the donation request has been made at least 4 weeks prior to the payment date (otherwise the donation will be made the following quarter). If you have provided incorrect, incomplete or inaccurate data as part of the related survey/research activity, we reserve the right to withhold your payment and associated donation.

All incentive earnings are your responsibility to report to HMRC or other relevant tax authorities.

To help keep things simple and efficient, please note that the minimum withdrawal amount from your dashboard balance is £15. This helps us manage administrative and processing costs fairly. If your balance is below £15, you can continue to collect incentives until you reach the minimum threshold, or you may choose to donate your balance to one of our partner charities.

6. Healthcare Payment Disclosure

In compliance with healthcare transparency regulations, we may be required to disclose incentive payments made to participants, or patient support organisations. This may include limited identifiable information such as your name, professional title, or organisation. By participating in our research, you consent to such disclosures as required by law or regulatory bodies.

7. Use of Your Information

Your personal data is collected and processed in accordance with our Privacy Policy. This includes information required for participation, communication, and payment.

We only use your information for legitimate research and operational purposes. For details on how your data is stored, shared, and protected, please refer to the Privacy Policy.

Research Analytics & Data Transformation

As part of our legitimate research operations, Patient First Research Ltd may create anonymised, aggregated, statistical, pseudonymised, or synthetic datasets derived from broader participation and research activity patterns.

These datasets may be used for:
 healthcare research,
 quality assurance,
 fraud prevention,
 research methodology development,
 feasibility analysis,
 platform improvement,
 and related analytical purposes.

These processes are designed to avoid identifying individual participants and operate in accordance with applicable data protection and healthcare market research standards.

No identifiable personal data will be sold or knowingly disclosed through these activities.

8. Intellectual Property

All research projects are confidential. You agree not to disclose, share, or reproduce any information or materials provided during participation.

Breaching confidentiality obligations may result in termination of membership and forfeiture of unpaid incentives.

10. Account Termination and Opt-Out Policy

You may close your account at any time by contacting us at enquiries@patientfirstresearch.org.

We reserve the right to suspend or terminate your account if:
- You breach these Terms;
- Fraudulent activity is detected;
- You provide false information during registration or research participation;
- Your account has been inactive for 365 days or more.

Upon termination, we will delete or anonymise your data in line with our Privacy Policy.

Opt-Out Policy:
You can opt out of receiving research invitations or communications from us at any time. Opting out will not affect any incentives you have already earned. To do this, you can update your preferences within your Patient First Research dashboard or contact us directly.

If you decide to fully opt out and close your account, your personal information will be deleted or anonymised in accordance with our Privacy Policy. You can rejoin our panel at a later date by registering again.

11. Limitation of Liability

We take all reasonable steps to provide accurate, secure, and reliable services. However, we are not liable for:
- Any indirect, incidental, or consequential loss arising from your participation;
- Delays or failures in communication networks or third-party services;
- Any loss of income resulting from participation in research activities;
- Force majeure events such as natural disasters, power outages, or regulatory restrictions beyond our control.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under law.

12. Indemnity

You agree to indemnify and hold harmless Patient First Research Ltd, its directors, employees, and partners from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your misuse of our platform, false or misleading information provided by you, or any breach of these Terms. This clause ensures that if your actions cause reputational, financial, or legal harm to the company, you may be held responsible for resulting costs or damages.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable section shall be interpreted to best reflect the original intent within legal limits.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in law or our operations. When material changes occur, we will notify you via email or on our website. Continued participation in our services after such notice constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
